Start by separating the activity from its legal form. A qualifying liberal professional normally registers directly with the Finanzamt and does not make a Gewerbeanmeldung. Most retail, production, hospitality, craft, platform, brokerage and other commercial activities are a Gewerbe. The Finanzamt decides tax classification, while professional and trade authorities decide their own permits.

Compare the operating forms

A sole trader has one owner, no fixed minimum capital and little formation formality. A small operation need not enter the Commercial Register unless its commercial scale requires merchant status. The owner is personally liable with business and private assets. It suits one founder with manageable risk, simple finance and no investment structure.

Two or more people pursuing a common purpose can form a GbR, sometimes without realising it. There is no fixed capital, but the partners are generally personally and jointly liable. Use a written agreement covering contributions, work, votes, representation, drawings, intellectual property, illness, exit, death and dispute. Registration as an eGbR can be needed or useful for register transactions, but does not create limited liability.

A UG (haftungsbeschränkt) is a GmbH variant. It can start with EUR 1 per shareholder, paid fully in cash, but a token amount rarely finances safe operation. It must allocate 25 percent of annual profit to a reserve. A GmbH has EUR 25,000 stated capital; cash formation normally permits register filing after at least EUR 12,500 is paid, while the unpaid balance remains owed. Both require notarised articles and Commercial Register entry (legal-form comparison). Limited liability begins with entry, not the notary appointment.

A branch of a foreign company preserves the foreign entity but adds German register, tax, business, accounting and possibly permanent-establishment duties. It is not a shortcut around German licences or employer rules. Partnerships, cooperatives and regulated professional entities suit particular governance or profession rules and need tailored advice.

Online businesses follow the same activity, consumer, tax, data, licence and company rules as offline businesses. Employer setup is an additional layer, not a legal form.

Choose a sole route for low-risk testing, a carefully governed partnership for genuine co-ownership, and UG or GmbH where liability, investment and continuity justify capital and administration. Choose no launch yet when permission, finance, licence, partner agreement, pricing or household runway is unresolved.

Eligibility

Confirm every gate before committing rent, capital, notarial fees, stock, or staff.

German citizens and EU, EEA or Swiss free-movement beneficiaries generally do not need a residence title merely to found and operate a business. A third-country national must distinguish passive share ownership, acting as managing director, and personally performing self-employed work. A title allowing employment does not automatically authorise self-employment. Obtain written confirmation from the foreigners authority before taking orders or managing day to day.

Test the founder and the activity

The commercial Section 21 residence route generally examines economic interest or regional demand, positive economic effect and secured financing. A liberal-professional route examines funding and any required professional licence. Applicants over 45 normally need adequate old-age provision. The initial title can run up to three years and extension depends on business success and family livelihood (self-employment residence). Students, employees and family-title holders must check their exact permission and side-activity conditions.

A founder must have legal capacity. General guidance requires adulthood and no applicable professional prohibition. A GmbH or UG needs at least one shareholder and a managing director who meets statutory eligibility. A disqualifying conviction, professional ban, conflict, insolvency restriction or missing consent can matter. Foreign residence is not a universal bar to ownership, but effective German management, service, banking, tax and immigration must work in practice.

Classify the exact activity before formation. Crafts subject to authorisation, health professions, legal advice, architecture, engineering, finance, insurance, transport, security, childcare, care, food, alcohol, accommodation and premises can need qualification recognition, chamber entry, reliability evidence or a specific permit. The Recognition Finder identifies regulated professions and competent bodies (professional recognition). A Commercial Register entry never replaces the operating licence.

Confirm that the proposed company name is distinguishable and not misleading with the chamber and notary, and search conflicting trade marks separately. Secure a real serviceable business address and landlord permission where the lease or use requires it. Home activity can face tenancy, planning, nuisance and data-protection limits. A mailbox sold as an address does not solve actual establishment or permit requirements.

For UG and GmbH, the capital, contributions and ownership must be genuine and documented. Identify every natural person who ultimately owns or controls the entity. Private-law legal persons and registered partnerships must keep this information current and notify it electronically without undue delay (transparency duty).

Before paying, obtain answers from the foreigners authority, professional or trade authority, chamber, notary, tax adviser and bank for their part. No single adviser can approve every gate.

Documents and Proof

Keep one consistent master file while supplying each authority only what it lawfully needs.

Create a master index before appointments. Include each founder's passport or ID, current address, residence title and supplementary sheet, tax identification, civil-status or name-change record where relevant, contact details, authority to represent another founder, and current register extracts for corporate shareholders. Ask the notary which foreign public records require an apostille, legalisation or sworn German translation. Do not surrender originals unless a competent body expressly requires it and gives a receipt.

Assemble the business and company evidence

The business pack should define activities, customers, pricing, competitors, premises, suppliers, staffing, permits, launch dependencies, monthly cash flow, profit and loss forecast, funding sources, capital expenditure, tax and insurance, household needs, risk scenarios and an exit threshold. Immigration and finance reviewers need evidence behind assumptions, such as client interest, contracts, quotations, licences, qualifications, equity statements or loan commitments.

For a sole trade or GbR, retain the partner agreement where applicable, activity description, lease or landlord consent, permits, Gewerbeanmeldung and receipt, tax questionnaire and protocol, chamber and accident-insurer correspondence, bank setup and insurance. For a liberal practice, replace the trade notice with Finanzamt classification and any professional-body registration.

For UG or GmbH, prepare the company name, registered seat, German business address, objects, shareholders, contributions, managing director appointment, representation, beneficial owners and articles. A model protocol can reduce formality for a simple eligible formation, but it provides little tailored protection. Bespoke articles should handle votes, reserved matters, transfers, leavers, death, financing, intellectual property, deadlock, distributions and competition.

After notarisation, preserve the deed, articles, shareholder list, director appointment, notarial correspondence and formation-stage status. Open the company bank account using the deed and identification, pay capital from traceable sources with clear references, and send the statement or bank confirmation requested by the notary. Do not circulate capital back to founders through sham invoices or undisclosed loans.

Add Commercial Register filing and extract, trade receipt, Transparency Register submission, ELSTER questionnaire and tax number, VAT ID where required, W-IdNr communications, licences, insurance, chamber letters, accounting policy, invoice template, e-invoice mailbox, register of contracts and employment records. The USt-IdNr is separate from the local Steuernummer and used for qualifying EU transactions (VAT ID).

Before each filing, reconcile legal name, suffix, address, business object, start date, owners, control, capital, VAT route and bank. Share redacted copies where possible, use secure portals, record who received personal data, and retain the transmitted version and Aktenzeichen.

Formation Steps

Choose, Permit, Notarise, Fund, Register, Notify Tax, Insure, and Prepare Payroll

Complete every dependency in the order that avoids premature trading and missing registrations.

  1. Define the activity and owners. Model sole, partnership and limited-company routes against liability, capital, tax, governance and administration. Agree founder roles and ownership before paying for branding or premises.
  2. Verify permission. Confirm residence, professional recognition, trade or premises licence, craft entry, landlord use and any sector approval. Preserve the valid-from date.
  3. Clear the name and structure. Ask the chamber and notary to review company name, legal suffix, seat and objects. Search trade marks and domains separately. Finalise articles and shareholder arrangements.
  4. Form where required. A sole trade or ordinary GbR needs no company notarisation. UG and GmbH shareholders notarise formation and appoint management. Eligible GmbH and UG procedures can use the secure online notarial route. The notary's advice and document preparation are included within statutory formation fees (notarial formation).
  5. Open the account and fund capital. Use the notarised deed to open the company account, pay the agreed cash capital, preserve bank proof, and send it to the notary. Do not present the company as fully registered; use the formation-stage suffix and obtain advice before commitments.
  6. Enter the Commercial Register. The notary electronically files the formation after requirements are met. Check the official extract, register number, managing directors, address, objects and shareholder list immediately. Limited liability as the registered UG or GmbH begins only upon entry.
  7. Register the operating activity. A commercial business files Gewerbeanmeldung with the competent municipality when operations begin. Channels and charges vary. One official regional implementation accepts personal, online, post or fax notice and forwards it to other bodies, but founders must use their own municipality (trade registration). A pure liberal professional registers directly for tax.
  8. Complete tax and ownership filings. Create ELSTER access, submit the legal-form-specific tax questionnaire normally within one month of start, save the protocol, and request VAT ID where relevant. Notify beneficial owners to the Transparency Register without undue delay.
  9. Set insurance and accounting. Confirm health, pension and accident routes for working founders; arrange operational insurance, bookkeeping, VAT, e-invoice receipt, records, bank controls and payment approvals.
  10. Prepare before hiring. Register with the accident insurer and obtain its Unternehmensnummer, then apply online for the Betriebsnummer before the first reportable worker. It is required for employees, trainees and minijobbers, not merely recruitment (employer number). Set payroll, health-fund reporting, wage tax, employment terms, working time and occupational safety before work starts.

Costs and Timing

Separate recoverable working capital from sunk setup fees and recurring compliance cost.

Share capital is not paid to the state. It becomes company property available for legitimate business use after formation, subject to capital-maintenance and director duties. A GmbH states at least EUR 25,000 and cash formation normally pays at least EUR 12,500 before registration. A UG can state EUR 1 per shareholder, paid in full, but must still cover formation invoices, rent, tax, insurance, stock, payroll and losses without becoming insolvent.

Itemise the launch and first year

Notarial fees follow federal statute. The Federal Chamber of Notaries gives examples from about EUR 105 for a one-person UG using the model protocol to about EUR 630 for a multi-person EUR 25,000 GmbH without one, plus expenses, document and postal charges and VAT. Register-court fees are separate, as are translations, apostilles, interpreters, foreign powers, trade-mark work and specialist contracts. Obtain a case quote.

Commercial Register, company and transparency processes can create official fees. A Gewerbeanmeldung fee and receipt charge vary by municipality; one current Hesse implementation displays EUR 28 plus EUR 8, which must not be treated as a national tariff. Permits, criminal-register records, qualification recognition, Handwerksrolle, professional chamber, food, security, transport, finance and premises approvals each have their own tariff and renewal.

Formation advice from the notary is included in the statutory notarial fee, but tax structuring, shareholder tax, payroll, international ownership, residence, employment and regulated work can require separate advisers. Compare fixed scope, hourly rate, VAT and disbursements. Public startup and chamber orientation may be free.

Recurring costs include tax adviser or accounting software, annual accounts and publication, payroll, bank and payment fees, e-invoice and records, chamber contributions, Transparency Register fee, licences, insurance, data protection, legal review, office or home-use cost, deposit, utilities, equipment, stock, vehicles, cyber protection, marketing, returns, warranties, bad debt, leave and sickness. Compare business accounts using current provider offers; the BaFin comparison is impartial but an advertised EUR 0 monthly fee may exclude transactions, cards or other services (account comparison).

Tax depends on form and result. Sole traders and partners generally face personal income tax; companies face corporation tax, solidarity surcharge and trade tax, with shareholder tax on distributions and payroll tax on salary. Individuals and partnerships have the statutory EUR 24,500 trade-income allowance, but corporations do not. VAT collected is not revenue.

Timing depends on permission, bank checks, notary availability, capital proof, register court, municipality, tax office and sector licences. Do not publish a nationwide formation promise. Build at least several weeks of administrative margin and several months of cash runway, with a delayed-register and delayed-tax-number scenario.

Ongoing Duties

Maintain Registers, Tax, Accounts, Ownership, Licences, Payroll, and Status Changes

Turn every authority notice and company change into a dated compliance task with retained proof.

Calendar each formation dependency from its own receipt. Register commercial activity at launch under the local rule, transmit the tax questionnaire generally within one month of starting, and monitor ELSTER for requests. Preserve the notarial deed, capital proof, Commercial Register extract, Gewerbeanmeldung, Transparency Register confirmation, tax submission protocol, tax number and licences. A submission receipt proves what was filed, not that an unissued permit already exists.

Run monthly, annual, and event-based controls

Monthly or quarterly tasks can include bookkeeping close, bank and cash reconciliation, receivables, VAT, payroll, wage tax, social reports, expenses, contracts, stock, capital and liquidity. Every domestic business must be able to receive structured e-invoices. Issue transitions permit other invoices broadly through 2026 and extend for certain issuers with prior-year turnover up to EUR 800,000 through 2027, subject to exceptions (e-invoice FAQ).

Annual work includes tax returns, accounts or EÜR, annual accounts and required publication or deposit, chamber and insurer reconciliation, shareholder resolutions, profit use, licence renewal and residence renewal. A UG allocates 25 percent of annual profit to its statutory reserve. Tax Bescheide set advance-payment dates and appeal instructions; do not substitute an internet calendar for the company's actual notices.

Keep beneficial-owner names, birth dates, residence, citizenship and nature and extent of control current, and notify changes without undue delay. Changes to managing director, shareholders, capital, articles, name, seat, registered address, objects, representation, or legal form can require a notarial resolution and register filing. A legal-form change can also require deregistering the old Gewerbe and registering the new one.

Notify the Finanzamt, municipality, chamber, professional body, accident insurer, employment agencies, health funds, bank, insurers, landlord, contract partners and immigration authority where their record changes. Address moves, new premises, regulated services, foreign operations, new owners, loans, related-party payments, first employee and staff departures have separate consequences. Changes to Betriebsnummer data are transmitted through the required payroll route.

Retain tax records in their native form. Specified books commonly have a ten-year category, accounting vouchers eight and other listed records six, with extensions for open tax, audit or litigation (record retention). Preserve former company names and software access.

For a sale, departure, dormancy or closure, plan tax, staff, creditors, permits, residence, records and liquidation before stopping activity. A GmbH or UG cannot be ended by merely closing the bank account or Gewerbe. Obtain notarial, tax and insolvency advice early, publish required notices, maintain liquidity and keep a service address until every process ends.

Problems and Remedies

Handle Fake Invoices, Missing Capital, Personal Liability, Unlicensed Work, Tax Debt, Conflict, and Insolvency

Preserve evidence, stop the continuing risk, contact the competent body, and protect formal deadlines.

After a register filing, official data can be copied into letters resembling court, register or publication invoices. Do not pay from appearance or urgency. Compare sender, legal basis, file number, payee, IBAN and amount with the notary and register court. Search the company in the official Joint Register Portal, which itself links justice warnings about payment demands (official register portal). Preserve the envelope and demand; report attempted fraud where appropriate.

Match the failure to the remedy

If register entry is delayed, ask the notary for the filing date, court reference and any deficiency. Correct name, capital, director or document problems through the notary. Do not claim registered limited liability while operating as a Vor-GmbH or Vor-UG. Record who approved every formation-stage commitment because founders and actors can face personal exposure.

If capital is missing, reconstruct subscriptions, bank transfers, formation expenses, withdrawals, shareholder loans, invoices and assets. Capital can fund legitimate business but cannot be fabricated, immediately returned through sham transactions, or treated as personal cash. Freeze related-party payments and obtain company-law and tax advice. A weakly funded EUR 1 UG is not unlawful by itself, but continuing without a realistic ability to meet debts is dangerous.

For unlicensed trading, stop the protected activity, identify the exact authority, preserve marketing and contracts, disclose accurately, seek permission, and handle customer refunds or safe handover. A trade notice or register entry is not a licence. Residence breaches also require immediate immigration advice before further management or work.

If tax is late, file accurate returns even where payment is not available. Contact the Finanzamt early with accounts, cash forecast, liabilities and a credible proposal; request adjustment of excessive advances or lawful deferral where justified. An objection generally follows the one-month instruction in the Bescheid, and does not automatically suspend collection. Never use payroll tax or VAT reserves as informal working capital.

For shareholder conflict, follow articles and agreements on information, votes, management, reserved matters, transfers, deadlock and exit. Preserve minutes, notices, accounts and communications. Do not lock out an authorised director, divert assets, destroy records or backdate resolutions. Use the notary for register-relevant changes and a corporate lawyer or mediator before operations collapse.

Illiquidity and over-indebtedness are urgent legal tests, not ordinary low profit. Responsible representatives must file without culpable delay. The outer limits are three weeks after illiquidity and six weeks after over-indebtedness, not waiting periods (insolvency duty). Stop selective insider payments, preserve liquidity records, and obtain insolvency counsel immediately. Chamber crisis advice can help, but it does not extend the statutory duty.
