Test the real working relationship

A genuine autónomo organises the activity, bears commercial risk, chooses how and when services are delivered within the contract, uses independent resources and can build a client base. A client that sets schedule, workplace, tools, procedures, leave and discipline may be an employer regardless of an invoice label. False self-employment can deprive the worker of wages, holiday, dismissal and Social Security rights. Do not register merely because a hiring company demands it.

A sole trader operates personally and normally has unlimited liability. A sociedad limitada creates a separate company with incorporation, accounting, corporate-tax, governance and beneficial-owner duties. A company director or shareholder may still belong in RETA. A civil partnership, community of property, cooperative, professional company, platform arrangement and economically dependent autónomo, or TRADE, each have conditions. TRADE status is not automatic from one large client and requires the statutory dependency and written-contract framework.

Map permission and location

EU citizens can conduct lawful activity subject to registration and sector rules. A third-country national needs residence status that authorises self-employment. The initial self-employment authorisation tests qualifications, licences, investment, business viability and funds. A teleworker authorisation has different foreign-work and Spanish-client boundaries; it is not a generic freelance permit.

A regulated profession may require recognition, colegiación, insurance or a licence before practice. Premises, food, transport, construction, tourism, childcare, health, street trading and environmental activity can require autonomous-community or municipal approval.

Choose autónomo for genuine personal independent activity, an SL where liability, investors, staff and scale justify it, employment where the client controls the relationship, and a cross-border route only after applicable Social Security, permanent-establishment, tax-residence and VAT analysis. Document the classification before spending money. Revisit it when one client becomes dominant, a platform changes control, staff are hired or investment grows. A contract label is weak evidence when daily conduct shows a different relationship.

Test habitual independent activity

RETA generally covers an adult who personally and habitually conducts economic or professional activity for profit outside another person's direction. There is no universally safe rule that income below the minimum wage eliminates registration. Frequency, organisation, continuity and facts matter. A one-off sale of personal property differs from an organised service, shop or recurring freelance business. Obtain case-specific TGSS advice for a genuinely isolated activity instead of building a business around an internet threshold.

The Importass alta service requires age 18, a Social Security number, real activity data and, for a foreign national, permission to work. Student, family, teleworker, job-search and other residence statuses have different activity rights. Approval of form 036 or assignment of an NIF does not cure an immigration breach.

Verify sector and territorial conditions

Identify the IAE activity heading and CNAE code, but use the real service or goods, not the lowest-tax label. Check qualification recognition, professional membership, civil-liability insurance, criminal-record or health requirements and municipal opening, works, terrace or activity declarations. Home-based work must comply with lease, community, planning, safety and customer-access rules.

Tax residence and Social Security coverage use different tests. Spanish residence commonly brings worldwide personal tax, while non-resident or permanent-establishment rules can apply otherwise. For EU work in multiple countries, obtain the applicable-legislation decision and A1 where relevant. Foreign company registration or clients do not automatically keep a Spain-based worker outside RETA.

Before committing, obtain written confirmation of immigration activity rights, professional eligibility, premises permissions, tax classifications and Social Security country. If any fails, change the activity, location, contract, residence route or business form before taking deposits or issuing invoices. Family collaborators, company directors and partners need their own scheme analysis. Also verify whether exclusivity, non-compete or public-employment rules restrict the proposed activity. Preserve the authority or professional body response with the launch file.

Create an audit-ready record that connects the real activity to every registration and return.

Assemble the registration file

Keep DNI, NIE or passport, NIF, Social Security number, residence and self-employment permission, address, telephone, email and claimant-owned bank details. Add qualifications, recognition, colegiación, professional insurance, lease or ownership, municipal and sector licences, safety records and any environmental or health approvals. Foreign documents may require apostille or legalisation and sworn translation.

Prepare a written activity description, start date, IAE heading, CNAE, operating and notification addresses, expected turnover, costs and net returns, VAT regime, IRPF method, withholding duties, intra-EU plans, collaborators, employees and premises. Preserve the submitted form 036 and RETA alta, including mutua, selected contribution base, expected net-return bracket and direct debit. Match spelling, codes, addresses and date.

Create transactional evidence

Use written client terms covering scope, deliverables, price, VAT and withholding, expenses, payment, intellectual property, confidentiality, data protection, liability, cancellation and dispute law. Avoid terms that disguise employment. Keep order, delivery, acceptance and payment proof.

The official invoice rules require sequential numbering and the applicable issue and transaction dates, legal names, NIF, addresses, description, tax base, rate and amount. Keep separate rectifying series and required exemption or reverse-charge wording. A platform statement may not replace the supplier's invoice duty.

Maintain issued and received invoice books, investment goods, VAT, income, expenses, withholding and asset records required by the regime. A deductible expense needs business connection, proper evidence, recording and correct allocation; a bank charge or personal receipt alone is insufficient. Separate business banking is useful even when not legally mandatory. Preserve source documents, backups, consent and privacy records for statutory retention periods, plus a filing calendar and the exact return receipts. Store client tax numbers and VIES checks at the transaction date, engagement acceptance, delivery evidence and correspondence supporting VAT location. Keep a data-processing register, privacy notices, processor contracts, access controls, breach log and deletion schedule proportionate to the personal data handled.

Align the genuine start date across every authority and operating system.

Complete the dependencies

  1. Define the activity. Write the services, goods, location, customers, control, risks, forecast turnover, expenses and net returns. Decide autónomo versus employment or company.

  2. Secure legal permission. Confirm immigration work rights, qualification recognition, professional membership, insurance and premises or sector licences.

  3. Obtain identifiers and digital access. Verify NIF, Social Security number, Cl@ve or certificate, notification address and a suitable bank account.

  4. Select tax treatment. Choose the accurate IAE heading, VAT regime, IRPF assessment, instalment and withholding obligations. Test domestic, EU and non-EU transaction examples before filing.

  5. File census alta. Use form 036 before activity or withholding begins. Form 037 was abolished in 2025. A supported DUE can replace defined declarations, but inspect what it actually filed.

  6. File RETA alta. Submit before the real start and no more than 60 days in advance. Provide activity, date, address, expected returns, base, mutua and debit account. Save confirmation.

  7. Activate operations. Sign client terms, arrange privacy and security, create sequential invoice series, record books, expense capture, backups and complaint channels. Register ROI before relying on applicable intra-EU VAT treatment.

  8. Issue and reconcile. Check the first invoice's VAT, IRPF withholding, currency and required wording. Match delivery, invoice, bank credit and accounting.

  9. Calendar all duties. Add quarterly or monthly VAT, IRPF instalments, retentions, information returns, annual Renta, RETA debit, renewals and notifications.

  10. Review after the first month. Compare actual control with self-employment classification, actual returns with the selected base, and transactions with VAT assumptions. File changes promptly.

Do not backdate a fictional start, bill before required permission, or assume a gestor's submission is correct without obtaining the signed forms and receipts. If using a PAE and DUE, obtain the DUE summary, census and RETA outputs, then compare every code and date with the planned activity. Test electronic notifications and direct debit before the first deadline.

Price work from net income after every recurring and contingent cost.

Calculate Social Security

The 2026 RETA table places expected monthly net returns into three reduced and twelve general brackets, each with selectable minimum and maximum bases. Published 2026 rates are 28.30 percent common contingencies, 1.30 percent professional contingencies, 0.90 percent cessation, 0.10 percent training and 0.90 percent intergenerational equity. Apply them to the chosen permitted base, not directly to turnover.

The provisional base is later regularised using tax data and statutory net-return adjustments. Underestimation can create a bill; overpayment can create a refund or option under the rules. New-activity reduced contributions and family or disability benefits have conditions and expiry, so price the post-relief amount too.

Separate tax cash flow

VAT charged to customers is normally held for AEAT, offset by deductible input VAT under the correct regime. The 2026 form 303 instructions set ordinary quarterly filing in April, July, October and January. Exempt, reverse-charge, EU, export, Canary Islands, Ceuta and Melilla transactions need their actual rules.

IRPF invoice withholding and quarterly instalments are prepayments, not final tax. Annual Renta reconciles worldwide taxable income, allowable expenses and prepayments. Reserve for both a higher final bill and RETA regularisation.

Price the full activity

Include licence, colegiación, insurance, premises, deposit, utilities, equipment, software, banking, payment fees, accounting, data security, transport, marketing, training, bad debt, holiday, sickness and non-billable administration. Model slow-paying clients and cancellation. Official registrations are generally free, but professional, municipal and sector costs vary. Quote net price, VAT and withholding separately. Maintain distinct tax, contribution and emergency reserves and never spend collected VAT as operating profit. Build a twelve-month cash forecast with conservative sales, payment delays, VAT dates, IRPF prepayments, monthly RETA, annual tax and regularisation. Calculate the minimum billable rate from target personal income plus business costs, non-billable hours and risk. Repeat the model without introductory contribution relief and with one major client paying sixty days late.

Ongoing Duties

Maintain Accurate Census, RETA, Base, Invoice, Tax, Licence, Insurance, and Immigration Status

Report changes when they occur and close every system deliberately when activity ends.

Run a monthly and quarterly control

Each month reconcile invoices, bank, expenses, unpaid debt, VAT, withholding, expected net returns and RETA debit. Update the contribution forecast when results materially change and use permitted base-change windows. Correct invoice errors with a proper rectifying document. Monitor electronic AEAT, TGSS, immigration, municipal and professional notifications.

Each quarter verify VAT location and exemption, IRPF instalment, payroll or rent withholding, EU reporting and direct-debit deadlines before filing. A zero result can still require a return. Keep the filed form and NRC or payment proof. Annually complete Renta, information returns, asset and inventory records, RETA regularisation review and licence or insurance renewals.

The census form 036 rules generally give one month for modifications. Report new activity, address, premises, VAT regime, withholding, ROI, representatives or cessation through the correct fields. Update RETA separately for activity, address, returns, base, mutua, bank or closure.

Manage life and business changes

Before hiring, register as employer, use a lawful contract, prevention measures, payroll and employee alta. Before adding a dominant client, test TRADE and employment risk. For sickness, birth, care or cessation protection, meet benefit-specific status, contribution, activity and reporting requirements. Immigration renewal may require tax, contribution, business and income proof.

Close without leaving liabilities

Choose the real last activity date, finish work, issue final and rectifying invoices, collect debt, preserve records and notify clients. File AEAT census baja and RETA baja separately, cancel licences and insurance where appropriate, close employees correctly and submit final periodic and annual returns. Deregistration does not erase past tax, contribution, warranty, data or record-retention duties. Download post-closure reports, retain a service address and keep funds for final tax and regularisation. A dormant website, late customer payment or warranty response does not always mean the economic activity continues, but new sales after baja can require re-registration. Ask for written advice when closure and collection dates differ.

Correct the underlying status and each authority record before penalties and debt compound.

Correct status and registration

If a client controls the work like employment, preserve schedules, instructions, tools, exclusivity, leave, payment and discipline evidence. Seek union, inspectorate or labour advice before terminating the relationship. TGSS can correct scheme and contributions; a tax invoice history does not prevent an employment finding.

For missing permission, unlicensed practice or late AEAT or RETA alta, stop compounding the breach, identify the real start, obtain qualified immigration or sector advice and file accurate corrections. Do not backdate fabricated contracts or choose a false activity code. Ask each authority for the legal effect, surcharge, coverage and review route in writing.

Repair transactions and debt

For a wrong invoice, preserve the original and issue the correct rectifying invoice and return adjustment. For VAT-location or ROI errors, reconstruct customer status, service, location and dates. For an AEAT or TGSS assessment, obtain the itemised period, base, rate, surcharge and evidence, then use allegations, reconsideration or economic-administrative and court routes stated in the notice. An appeal does not always suspend collection; ask about security, deferral or instalments.

For client non-payment, follow the contract: send a dated demand, preserve delivery and acceptance, calculate principal, tax and interest, use mediation or a payment-order or civil route as appropriate, and adjust bad-debt VAT only under its formal conditions. Never threaten unlawful disclosure or keep client data hostage.

Escalate serious failures

Report identity theft, fake invoices, stolen credentials and payment diversion promptly to bank, platform, police and authorities as appropriate. Use AEAT, TGSS, mutua, immigration, professional body, consumer or data authority, union, legal aid and qualified tax or labour counsel according to the issue. Bring registrations, returns, invoices, contracts, chronology, calculations, desired correction and earliest deadline. Urgent inability to meet basic needs can also justify municipal social-service support while the business dispute continues. Protect the shortest appeal, tax, contribution, immigration and civil limitation date in one calendar.
